Apartment Sale and Purchase Agreement in Kyrgyzstan: What It Must Contain and How to Avoid Mistakes
The sale and purchase agreement is the most important document when buying an apartment. It fixes the rights and obligations of the parties. A mistake in the agreement can cost you the apartment or your money. We break everything down in order.
Who Drafts the Agreement?
In Kyrgyzstan, a real estate sale and purchase agreement must be certified by a notary. The notary:
- Verifies the legal capacity of the parties
- Checks the authenticity of documents
- Certifies signatures
- Bears legal responsibility for the transaction
Drawing up an agreement independently and signing it without a notary is not sufficient. Such an agreement will not pass GRS registration.
Mandatory Elements of the Agreement
1. Parties to the Agreement
Fully stated:
- Full name of seller and buyer
- Date of birth
- Passport details (series, number, issued by and when)
- Place of registration
If the seller acts through an authorised representative — a reference to the power of attorney with its details is mandatory.
2. Subject of the Agreement — Exact Description of the Apartment
Must include:
- Full address (street, building, apartment)
- Floor area (total and residential)
- Number of rooms
- Floor
- Cadastral number of the property
Risk: If the area in the agreement does not match the technical passport — this is grounds for declaring the transaction invalid.
3. Price and Payment Procedure
- The amount is stated in Kyrgyz som (even if agreed in dollars — conversion at the current rate is shown)
- How the money is transferred is specified: in cash at the notary, via letter of credit, bank transfer
- If part of the amount has already been paid as a deposit — this is recorded
Mistake: Understating the price in the agreement. Some sellers ask to write a lower amount to reduce tax. For the buyer this is a major risk — if the transaction is cancelled, only the amount stated in the agreement will be returned.
4. The Seller's Title Documents
The agreement states the basis on which the seller owns the apartment:
- Sale and purchase agreement (date, number)
- Certificate of right to inheritance
- Court ruling
- Gift deed
5. Warranty of No Encumbrances
The seller must warrant in the agreement that the apartment:
- Is not mortgaged
- Is not under arrest
- Is not the subject of a dispute
- Is not under a lease with a right of purchase
6. Handover of the Apartment
Recorded:
- Date of actual handover of keys and apartment
- Condition of the apartment at handover (usually references the handover and acceptance certificate)
- Who pays any utility debts (if any)
7. Spousal Consent
If the seller is married — notarially certified spousal consent is mandatory. Without it, the transaction can be contested within 3 years.
Dangerous Clauses in the Agreement
"Settlement has been made in full before signing the agreement"
If the money has not yet been transferred — do not allow this phrase. If the seller disappears after the notary, it will be very difficult to prove that payment was not made.
Understated Price
Risks for the buyer: if the transaction is cancelled, the court will return only the stated amount. If the seller contests the transaction — you are in a losing position.
No Transfer Date
Without a clear date for handover, the seller may continue living in the apartment for months after the deal. Include: "The Seller undertakes to hand over the apartment no later than [date]."
Transaction Processing Procedure
- The parties prepare documents
- Meeting at the notary's office, signing the agreement
- Transfer of money (in the presence of the notary or through a bank)
- Submitting documents to the GRS to register the transfer of title
- Receiving the GRS extract in the new owner's name
- Signing the handover and acceptance certificate, handing over the keys
